Terms of Service / Public Offer Agreement

This document is provided in English. The English version is the official and legally binding version; any translations are for convenience only — in case of conflict the English version prevails.
These Terms of Service constitute a public offer agreement for access to and use of TSP Core. By creating an account, clicking "I agree", accessing the dashboard, purchasing a paid plan, or continuing to use the service after an update, you accept these Terms.
1. Who we are
"TSP Core", "we", "us" or "our" refers to Maksym Rudevych, a sole proprietor (ФОП) registered in Ukraine, operating the website at tspcore.com and the TSP Core dashboard application available to authenticated users. Contact: [email protected].
2. The service
TSP Core is a market-data analytics platform. We aggregate publicly available order-flow, trade and order-book data from supported exchanges and present it through cluster, footprint and volume-profile visualisations.
We provide market analytics and charting for educational and informational use only. Nothing displayed by TSP Core is a recommendation to take any action with respect to any financial instrument. Decisions you make based on the platform are your own.
3. Paid plans, subscriptions and billing
Some features of TSP Core require a paid subscription or another paid plan. Paid plans, pricing, included features, limits and billing periods are shown on the Pricing page or during checkout.
Payments for paid plans are processed by Paddle, our Merchant of Record. Paddle is responsible for processing payment transactions, issuing receipts or invoices to buyers, collecting applicable taxes (such as VAT or sales tax) where required, and handling payment-related support in accordance with Paddle's buyer terms and refund policy.
By purchasing a paid plan, you agree to the applicable Paddle buyer terms in addition to these Terms. If there is a conflict between these Terms and Paddle's buyer terms regarding payment processing, taxes, invoices, refunds or chargebacks, Paddle's buyer terms will apply to that payment transaction.
Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. You can cancel your subscription through the billing/customer portal or by contacting support. Cancellation takes effect at the end of the current paid billing period unless otherwise required by law or stated during checkout.
We may change plan names, features, limits or pricing from time to time. Changes will not reduce your access during an already-paid billing period, but may apply to future renewals or new purchases.
Access to paid features is granted after we receive confirmation of a successful transaction from Paddle. We may suspend or downgrade access if a payment fails, is refunded, charged back, cancelled, disputed, or otherwise reversed.
4. Refunds
Refund requests for purchases processed by Paddle are handled in accordance with Paddle's refund policy, applicable consumer law, and our Refund Policy. You can request payment-related support or a refund through Paddle buyer support or by contacting us.
Unless required by law, cancelling a subscription stops future renewals but does not automatically refund amounts already paid for the current billing period.
5. Eligibility & account
You must be at least 18 years old and legally able to enter into a contract in your jurisdiction. You agree to provide accurate registration information, keep your password confidential, and notify us promptly of any unauthorised use of your account.
We may suspend or terminate accounts that violate these terms, abuse the service, or pose a security or compliance risk.
6. Acceptable use
You agree not to:
- Scrape, automate or otherwise extract data in volumes that disrupt the service.
- Re-distribute or resell market data obtained through TSP Core without permission.
- Use the platform to violate any law, sanctions regime or exchange terms.
- Probe, scan or otherwise attempt to compromise the platform's security.
You may not use TSP Core if you are subject to comprehensive sanctions, appear on a denied-party list, or are located in a jurisdiction where use of the service is prohibited. See our Disclosures for the current list of restricted regions.
7. Alerts
Alerts are informational notifications based on user-selected settings and system-detected events. Alerts may be delayed, missed, duplicated or incorrect. Alerts are not trading signals, recommendations or instructions to take any action.
8. Backtesting and playback
Backtesting, replay and playback tools are for research and educational purposes only. Historical results, detected setups or simulated outcomes do not guarantee future performance.
9. Third-party data and exchange terms
Market data originates from supported exchanges and may be subject to their own terms, restrictions and availability. You must not use TSP Core to violate exchange terms, redistribute restricted data, or build competing datasets without permission.
10. Data accuracy & availability
We rely on third-party exchanges as our data source. Their feeds may be delayed, paused, corrected or terminated without notice. We make reasonable efforts to deliver accurate, low-latency data but provide no warranty of accuracy, completeness, fitness for any particular purpose, or uninterrupted availability.
11. Limitation of liability
To the maximum extent permitted by law, TSP Core's total liability for any claim arising out of your use of the service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) USD 100. We are not liable for indirect, incidental, consequential, special or punitive damages, including trading losses.
12. Intellectual property
The software, branding, and original content of TSP Core are owned by us or our licensors. Market data is owned by the originating exchanges. Nothing in these terms transfers any rights to you beyond a limited, non-exclusive, revocable licence to use the platform as intended.
13. Changes to the terms
We may update these terms from time to time. Material changes will be announced through the dashboard or via the email address on your account. Continued use of the platform after an update means you accept the revised terms.
14. Governing law
These terms are governed by the laws of Ukraine, the jurisdiction in which the operator is registered. Disputes will be resolved in the courts located there, unless the law of your country of residence requires otherwise.
15. Language
These Terms are provided in English. The English version is the official and legally binding version. Any translations may be provided for convenience only. If a translation differs from the English version, the English version will prevail to the maximum extent permitted by applicable law.
